Terms of Service

1. Agreement to these terms

These Terms of Service govern your access to and use of Looseleaf (“the service”), operated by Looseleaf (“we”, “us”). By creating a workspace, requesting access, or using the service in any way, you agree to be bound by these terms. If you do not agree, do not use the service.

2. The service

Looseleaf provides storage, versioning, and editing of markdown documents, accessible to AI agents over the Model Context Protocol and to people through a web interface. The service is currently offered on an invitation basis and workspaces are provisioned by us directly.

3. Accounts and access tokens

You are responsible for safeguarding the credentials and workspace access tokens associated with your account, and for all activity that occurs under them — including activity performed by AI agents you have authorized. Notify us promptly if you believe a token has been compromised; you can revoke tokens at any time from your workspace.

4. Your content

You retain all rights to the documents you or your agents store in the service. You grant us only the limited license required to operate the service: to store, transmit, back up, and display your content to you and to those you authorize. We claim no ownership of your content and do not use it to train machine-learning models.

You are responsible for the content stored in your workspace and must have the necessary rights to store it.

5. Acceptable use

You agree not to use the service to store or distribute unlawful content, infringe the rights of others, distribute malware, attempt to gain unauthorized access to the service or other workspaces, probe or degrade the service’s infrastructure, or resell the service without our written permission. We may suspend access that we reasonably believe violates this section.

6. Availability and changes

We work to keep the service available and your data durable, but the service is provided without a guaranteed service level. We may change, suspend, or discontinue features, and we will give reasonable notice of changes that materially reduce the service’s functionality. You can export your workspace at any time.

7. Fees

The service is currently provided free of charge during its invitation period. If we introduce paid plans, we will give you advance notice and an opportunity to export your data before any fee applies to you.

8. Termination

You may stop using the service at any time and may request deletion of your account, which permanently erases your workspaces and their contents. We may suspend or terminate your access for material breach of these terms; where practical, we will give you notice and a chance to export your data first.

9. Disclaimers

The service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service. Our total liability for any claim arising out of these terms or the service is limited to the greater of the amount you paid us for the service in the twelve months before the claim arose, or one hundred US dollars.

11. Changes to these terms

We may update these terms from time to time. If a change is material, we will provide notice before it takes effect, such as by email or a notice in the service. Continued use of the service after a change takes effect constitutes acceptance of the updated terms.
